Nicole Indelicato began her legal career with Cole Schotz P.C. as an Associate in the firm’s Corporate, Finance & Business Transactions Department. Her practice has since grown to encompass Intellectual Property and Healthcare Law. She is based in the firm’s New York office where she advises clients from various industries, such as real estate, media and healthcare.
Nicole’s corporate practice includes the preparation of formation, governance and closing documents in connection with formations, restructurings, loan transactions, mergers, acquisitions and other corporate and commercial real estate matters.
She also practices healthcare law and is experienced in advising clients on maintaining corporate compliance with the mandates of the Centers for Medicare & Medicaid Services, the Department of Health and Human Services Office of Inspector General, the federal Anti-Kickback Statute, the federal Stark Law, and state laws related to payment, billing, licensure, and certification requirements.
Nicole’s representative matters include:
Corporate• Obtaining a $330 million loan, involving 49 assets in 17 states, for a private company;
Intellectual Property• Drafting a Request for Reconsideration after Final Action for a trademark, which resulted in a Notice of Acceptance of Statement of Use from the United States Patent and Trademark Office for a private company;
Healthcare Law• Researching and providing analysis on home health agency licensing regulatory requirements and registered nursing regulations in all 50 states plus Washington D.C.;
Prior to entering the legal profession, Nicole worked as a journalist and videographer in New York, where she wrote, filmed, produced and edited news stories for television. While in law school, Nicole held legal internships in the media, television and franchising space. She assisted in-house counsel at CBS Sports Network, FOX Television Stations and FOCUS Brands. At CBS Sports Network, Nicole drafted talent agreements, programming agreements and wardrobe agreements, vetted journalists’ scripts prior to air, and examined network websites in several states for compliance with the Federal Communications Commission. At FOX Television Stations, Nicole also reviewed journalists’ scripts before air, reviewed contest rules for compliance and participated in conferences advising journalists on what content they could and could not publish on air. At FOCUS Brands, a franchisor and operator of more than 4,500 ice cream shops, bakeries, restaurants and cafés – including Carvel®, Cinnabon® and Auntie Anne’s® – Nicole researched franchise, trademark and employment law issues and participated in franchise compliance meetings.
Nicole earned her J.D. from Emory University School of Law and her B.A. in Journalism from Stony Brook University, where she graduated summa cum laude, received the Award for Outstanding Online Journalism, and was awarded the H. Lee Dennison Valedictorian Award. Nicole is admitted to practice law in New York and New Jersey.
